We are looking for an experienced and talented attorney to support our rapidly growing business and our goal of being the leading site for daily deals for moms, babies, and kids. You will be responsible for counseling the business on a broad range of commercial and regulatory matters, such as SEC reporting requirements and corporate governance.
ESSENTIAL DUTIES AND RESPONSIBILITIES/CORE ACCOUNTABILITIES
Perform as trusted business advisor and legal counsel
Draft and negotiate product/services agreements, marketing agreements, license agreements, non-disclosure agre! ements, and other types of agreements as needed
Drive! internal and external business goals with respect to contracts ranging from development of standard templates to negotiating non-standard customer agreements
Responsible for ongoing compliance with applicable reporting requirements of the U.S. Securities and Exchange Commission and NASDAQ, including Regulation FD, periodic filings and proxy statements
Provide legal transactional support to business development and other internal functions with respect to various corporate transactions, including potential mergers, acquisitions, strategic partnerships, capital market transactions, corporate restructurings and other complex transactions
Support a variety of internal business groups across the organization (e.g., Sales, Marketing, IT, Finance, Merchandising, HR, facilities, Operations) to develop policies and procedures and ensure compliance with legal obligations as needed
QUALIFICATIONS
Juris Doctor and membership in good standin! g in at least one state bar is required, Washington is preferred
6+ years of legal experience (a combination of firm and in-house preferred) with SEC reporting requirements, including preparing and reviewing securities filings such as 8Ks, 10Ks, 10Qs, proxy statements and corporate governance
Strong corporate transactional background with experience negotiating and drafting a variety of complex commercial agreements
Ability to resolve novel, complex issues with a resourceful “can-do†attitude
Thoughtful and creative approach to finding business solutions for legal issues
Balanced and solid judgment in ambiguous and time sensitive situations
Ability to work independently with little supervision while still being able to contribute successfully to cross-functional teams
Ability to successfully partner with business clients, foster teamwork, and to provide outstanding leadership and guidance
Excellent ! organizational skills, ability to manage multiple projects at once, fol! low through and meet tight deadlines
Ability to effectively and efficiently communicate both orally and in writing
Strong sense of humor
