Edifecs has an immediate opening for an experienced and motivated Corporate Attorney to join a dynamic and growing legal department at company headquarters in Bellevue, Washington. Responsibilities ! include advising senior executives on novel legal issues, negotiating complex contracts and licensing agreements, advising on potential corporate transactions, and implementing regulatory compliance.
Essential duties and responsibilities of the Corporate Attorney position include:
Serve as counsel to senior executives at an expanding, global, privately-held healthcare IT Company;
Assist in developing Edifecs’ strategy and drive Edifecs’ efforts to grow, expand, and enter new markets through mergers and acquisitions;
Support all departments of the company including but not limited to Sales, Operations, Finance and Marketing in connection with legal and/or contractual requests;
Draft, review and negotiate complex, multi-million dollar contracts, including master license and services agreements, confidentiality agreements, statements of work, strategic partnership agreements, leases, vendor contracts, subcontractor agreements, m! arketing agreements, and various other contracts in connection! with the company’s activities on a day-to-day basis and in line with company policies and risk tolerance;
Provide legal advice, opinions and solutions regarding issues and risks relating to the on-going and expanding business; and
Assist in developing, implementing and enforcing compliance policies and procedures in connection with the Company’s business operations and regulatory requirements, particularly regarding data privacy and information security.
Qualifications and Experience for the Corporate Attorney position include:
Bar admission in good standing in Washington;
J.D. required from a law school with excellent credentials;
6+ years of relevant corporate and transactional experience. A combination of both in-house and law firm experience preferred. Significant experience with licensing issues, health care, and data privacy a plus;
Ability to provide sound and practical advice on legal and business m! atters in a complex, fast-paced environment to a broad range of business teams;
Superior drafting skills, especially the ability to draft contract language that is clear, concise, and easily understood. Consistently delivers high quality work product;
Strong collaboration skills and ability to drive consensus across legal and business teams;
Experience delivering and/or recommending solutions that meet legal requirements and business objectives of the Company;
Effective communicator with international business teams and with senior executives;
Customer-oriented interpersonal skills, excellent business judgment, and a proven ability to excel working with multiple clients;
Extensive experience with M&A, legal due diligence, corporate transactions, and corporate governance to assist the Company as it grows, acquires, and develops;
The successful candidate will have a strong understanding of technology law and intel! lectual property, as well as a demonstrated ability to recognize and we! igh business and legal risks, think strategically and advance practical solutions;
Ability and willingness to quickly learn a new area of legal expertise and adapt as business needs change;
Strong organizational skills and the ability to manage several simultaneous projects with varying priorities under deadline pressure;
High energy level and high degree of self-motivation to creatively and proactively solve problems, with a sense of urgency to achieve stated business goals; and
Excellent moral judgment and unquestioned integrity and ethics.
