Seattle-based DIRECTV Sports Networks is a wholly owned subsidiary of DIRECTV and operates three regional sports networks branded as ROOT ! SPORTSâ¢. The three networks (based in Bellevue WA, Denver CO, and Pittsburgh PA) are distributed in 18 states and hold exclusive regional telecast rights to over twenty professional and collegiate teams, including the Colorado Rockies, Pittsburgh Pirates, Seattle Mariners, Pittsburgh Penguins, Pittsburgh Steelers, Utah Jazz, Seattle Sounders FC, Portland Timbers , Gonzaga University, West Virginia University, and Seattle University. The ROOT SPORTS networks also have exclusive national distribution rights for the Big Sky Conference, as well as distributing Big 12, Pac-12, Mountain West, and Conference USA and other collegiate football and basketball games.
Corporate Counsel (Affiliate and Media)
DIRECTV Sports Networks is seeking a talented attorney with a broad range of skills and experience to fill the position of Corporate Counsel, reporting directly to the company's Senior Vice-President of Business Operations and Chief Financial Officer and will be ! based in our downtown Seattle corporate headquarters. This ind! ividual will lead the overall management of the business and legal affairs of the company and all of its subsidiaries, including assisting with negotiations and drafting of agreements ranging from standard contracts to highly complex rights and affiliate distribution agreements. The Corporate Counsel will also provide legal counsel, guidance and services as needed to all departments within the company, including production, affiliate relations, marketing, HR, and finance. The position has company-wide impact.
Responsibilities include:
Draft team and league television content rights agreements, cable and satellite distribution agreements, licensing agreements, marketing and sponsorship agreements and all manner of corporate contracts.
Actively support and advise business groups on issues involving television production and distribution, content licensing and acquisition, music clearances and cable MSOâs/DBS, intellectual property.
Assi! st the SVP with business and corporate development matters, including mergers and acquisitions, as well as dealings with the professional leagues (MLB, NHL, and NBA), collegiate conferences and team partners.
Provide counsel on issues arising from actual or anticipated lawsuits, including FCC rate arbitrations with distributors.
Develop and recommend company policy and positions on legal issues and process.
Draft, review and edit reports, opinions, articles and other documents.
Draft and administer vendor, client and employment contracts.
Assist in the management of the companyâs intellectual property
Conduct research on various topics.
Qualifications
Required Skills & Abilities :
A JD degree from an ABA-accredited law school and excellent academic credentials.
A minimum of 4 years experience, either in-house or with a law firm with specific experience supporting sports, entertainment, cable! and/or media companies.
Membership in at least one state bar assoc! iation (preferably the state of Washington).
Demonstrated experience and expertise in more than one of the following substantive areas: sports telecast/media rights agreements, cable and satellite television distribution agreements, television production and related rights clearances, complex commercial transactions, intellectual property, and licensing.
Excellent written and oral communication skills, including addressing legal issues in plain English
Excellent contract drafting skills, including the ability to quickly and accurately synthesize business concepts into contracts and agreements.
Working knowledge of Microsoft Office applications, including strong Excel, Outlook and PowerPoint.
Superior organizational skills as well as advanced multi-tasking ability, including the proven ability to meet deadlines
Ability to work with a large number of contacts from multiple internal departments as well as geographically distant operating subsidiaries. Strong interpersonal skills and ability to work effectively in a team-oriented environment.
Ability to provide key risk management assessments related to contractual issues, etc.
Ability to manage outside counsel relationships, including billing and project management.
Additional Skills & Experience (not required but preferred):
In-house experience.
Experience in a (non-legal) business or corporate development role.
Working knowledge of any of the following: FCC regulatory issues, advertising "standards & practices," sports marketing, mergers and acquisitions, internet and/or wireless content and platforms. A passion for sports and sports business.
