As Senior Corporate Counsel, Software Licensing and Open Source, you will serve as the primary attorney responsible for software transactions for all business lines of Amazon and its affiliates worldwide: cloud computing, retail, digital media, web developer services, and on-demand publishing of books and movies. You will also play a key role in shaping and implementing Amazon's Open Source policies. This position structures, drafts and negotiates agreements, manages outside counsel, and counsels internal business clients on:
Inbound and outbound software licensing; Software development agreements; Software-as-a-Service and Platform-as-a-Service agreements; Open source; Streaming and edge caching services agreements; Content licensing. The role also provides day-to-day business and intellectual property law counseling; identifies opportunities for and implements process improvements; administers and resolves legal issues that arise in existing commercial relationships; and handles pre-litigation legal disputes and inquiries.
Qualified candidates must have 7 or more years of legal experience (with at least two years at a law firm) as a tech transaction attorney handling a significant volume of software transactions; in-house experience in a technology or Internet company is a plus. The successful candidate must be enthusiastic, enjoy working hard and being challenged, and demonstrate sound judgment even in ambiguous situations. A J.D. degree and membership in one state bar is required.
