NAES is a full service provider offering a complete array of services dedicated to making facilities run more safely, reliably and cost-effectively. GENERAL SUMMARY

The Corporate Counsel - Construction & Contractor Services is responsible for all contracts of NPC East, NPC West, NAES Turbine Services, NAES Technical Services and NAES Staffing Services from proposal through completion. The position works directly with company marketing and operations managers and staff, company customer representatives and company outside legal counsel to resolve issues, and is responsible for protecting the company's interests in its dealings with customers and suppliers. Advises management regarding compliance with applicable international, federal, state and local laws affecting company operations and coordinates the work of outside counsel when necessary.

SPECIFIC EDUCATION, EXPERIENCE, KNOWLEDGE & SKILLS REQUIRED

Graduation from an accredited law school and active membership in good standing with the Washington State Bar Association. Minimum 5 years work experience as an attorney. Client counseling experience is required, as is the ability to draft and review complex agreements and advise company employees in clear, precise written language.

Knowledge and skills required: knowledge of the company's business lines and how the company makes money, understanding of the impact of contractual language on the profitability of company business, a solid understanding of contractual principles, practices and procedures, the skills to work effectively with all company business leaders, possession of a keen business sense in order to offer practical solutions that meet the needs of the business, a desire to drive business deals to successful consummation, ability to handle multiple difficult issues simultaneously and work independently, excellent negotiation skills, creativity and ability to participate in a highly collaborative and team-oriented environment, an ability to communicate effectively both orally and in writing throughout the company and with customers, and possession of conflict resolution and problem solving skills.

TYPICAL DUTIES

Acts as primary legal advisor to the construction and contractor services departments of the company and its subsidiaries.

Participates in the initial evaluation of new business opportunities, reviews requests for bids and company proposals, grants law department approval of company proposals and records any related caveats and conditions.

Develops and improves contract templates, handles all contract drafting, review and negotiation, either directly or by training of non-legal staff as appropriate.

Proposes alternative approaches to marketing and operations practices in light of business risks and customer issues.

Provides advice and training to corporate and project management personnel with respect to contract interpretation and customer concerns. Conducts or provides support for contract administration as appropriate.

Provides legal advice on licenses, insurance, construction and contract disputes, bonding, competitive bidding and other related issues. Works with the company's director of corporate insurance with regard to contractual insurance and bonding requirements.

Addresses customer/vendor contracting issues and disputes; coordinates and manages disputes assigned to outside counsel while effectively managing internal/external legal costs.

Designs and implements strategic education and training initiatives to raise company personnel awareness of risk issues and ensure compliance with company policies and procedures.

Other duties and projects as assigned by the General Counsel of the company.

WORK CONDITIONS

Normal hours are 8:00a.m. to 5:00p.m. Monday through Friday with extended hours as necessary. Employment is located at the company's headquarters. Travel requirements both domestically and internationally will not exceed 30% of work time.
