General Counsel

Prepare supporting legal documents such as briefs, contracts and other filings. Provide counsel to managers on legal matters impacting manag! ers' areas of responsibility.
Essential Functions
Work with Management to asses legal issues and risks which impact the organization.
Support HR and Management on issues relating to employment activities.
Assist management in the implementation of corporate restructuring and other corporate changes (including mergers, acquisitions, divestment and liquidation matters)
Monitor an assist in the implementation of appropriate corporate governance and compliance procedures.
Provide advice and counsel to management and other in-house clients on proposed and existing laws and regulations.
Prepare, review, advise and assist in negotiations on a wide variety of contractual arrangements.
Manage litigation in coordination with senior management and HQ. Coordinate with outside attorneys to define and implement litigation strategies.
Manage outside counsel’ activities, as well as the selection, review and ! hiring of outside counsel for various matters. Review billing ! for appropriate charges.
Work with HQ and other regional offices, including internal and external counsel, in connection with the various duties above.
Qualifications
A minimum of 12 plus years of experience as a business attorney, with relevant in-house and/or top law firm transitional experience.
Licensed attorney from an accredited law school.
Demonstrated ability to lead highly complex projects and other high impact initiatives
In-house counsel experience in the IT industry preferred.
Pro-active and ethical, with the ability to support corporate goals in a multinational corporate environment.
Ability to interact with senior management with strong executive maturity
Ability to mentor and lead others informally in areas of expertise
Excellent written and oral communication skills
Strong analytical, negotiation, and drafting skills
Keen business sense with strong jud! gment, negotiation, drafting and decision making skills
Ability to operate independently and effectively in a dynamic environment
Ability to work with a variety of personalities across the business organization
Strong prioritization skills, and execution and results orientation with customer focus
Ability to work efficiently, meet demanding deadlines, and balance multiple tasks in a fast-paced environment
Desire and ability to work as part of a team
Education
Masters/Advanced Degree. JD from an accredited university with outstanding academic credentials
