The Legal Department of Intellectual Ventures (“IV”) is seeking a Chief Counsel - Licensing to manage its Legal Licensing function to be a best-in-class ! licensing group. We are looking for an individual who loves fast-paced business action, is detail-oriented, independently motivated, and has the confidence and ability to interact with clients and co-workers in a professional, approachable, and positive manner. This individual must also have the ability to champion initiatives, drive process improvements, think creatively, work across varied business groups that have disparate agendas, and be able to manage a relatively large team of experienced licensing attorneys. Responsibilities: The Chief Counsel - Licensing will report directly to the Chief IP Counsel and will be part of the Chief IP Counsel’s Leadership Team. Working closely with other attorneys, business managers, licensing executives and outside counsel, the Chief Counsel - Licensing will lead a team of licensing attorneys who advise on and legally support licensing matters, craft licensing strategies and build licensing programs. The responsibilities of this rol! e will include:
Managing a team of experienced licensing a! ttorneys responsible for the following activities to support the licensing of IV’s patent portfolios:
Developing, reviewing, and presenting claim charts
Providing negotiation support in licensing engagements
Negotiating and Drafting patent licenses and divestiture agreements
Formulating and presenting responses to non-infringement and invalidity arguments
Assisting with tactical and strategic planning in customer engagements
Reviewing licensing presentation materials
Supporting acquisition due diligence
Ensuring that the program development and licensing needs of the business clients are met
Driving the establishment and documentation of new processes and systems and process improvements to optimize productivity with a relentless focus on quality and cost-effectiveness
Developing and implementing processes and strategies to enhance IV’s technological, legal and competitive position
Partnering with business and functions to dev! elop and support outbound licensing processes
Providing direction to and effectively managing relationships with multiple outside counsel
Partnering with prosecution to drive initiatives to enhance IP assets through prosecution and to manage costs to budget
Aggressively managing outside counsel and department spending to budget
Managing, attracting, retaining and developing experience licensing attorneys Key Qualifications:
An ideal candidate will be a patent attorney who is an experienced leader and manager of a medium to large team of patent/licensing attorneys, with a combination of in-house and private practice experience, patent prosecution and patent licensing experience, and a broad technology background, with the following attributes:

Legal/Technical
15+ years of in-house and/or law firm experience in patent law (including patent prosecution, licensing and litigation experience)
Registration to practice before the U.S. Patent & T! rademark Office is required
Bachelor’s degree (preferably graduat! e degree) in Electrical Engineering, Computer Science, Physics or some other very closely related field is preferred (educational backgrounds in other technology areas may be considered)
Experience in an engineering role is preferred
Knowledge and experience with principles, practices, case law and state of the art patent licensing
Significant experience in drafting, reviewing and presenting claim charts and responding to non-infringement and invalidity arguments
Skillful with strategic legal approaches, and a broad-based understanding of intellectual property rights, contract law, mergers and acquisitions, corporate law and licensing
Sound legal and business judgment Management/Supervisory
Demonstrated success in managing, attracting, retaining, training, and developing attorneys and managing legal organizations
Ability to understand, resolve issues and remove impediments that impact a team member’s ability to perform to his/her optimal best Demonstrated success in managing costs to budget and driving cost containment initiatives
Proven track record of accomplishment leading or influencing direct or cross functional teams of legal and business experts to achieve goals
Experience managing outside counsel, including creative use of alternative fee arrangements
Capacity to isolate and prioritize issues for the team and to focus on implementing both top-level, strategic solutions as well as the day-to-day managerial responsibilities necessary for maintaining a coherent team of highly functioning and experienced individuals
Experience partnering with senior-level management and addressing rapid changes in development and delivery requirements
Demonstrate integrity, maturity, good judgment, and a constructive approach to challenges Behavioral
Ability to communicate information effectively, both orally and in writing
Self-starter with strong problem-solving skills
Ability to establis! h credibility quickly and with a bias for action
A multi-dimensiona! l thinker who operates not only on the basis of past experiences, but incorporates new approaches and developments that occur in the marketplace and is able to think creatively

Ability to effectively lead and influence cross-functional teams Other Requirements
Must be licensed to practice law in at least one state
Prompt admission to the Washington State Bar, by reciprocity or exam, if not already admitted in WA
This role is expected to require occasional travel ~15%
