Description
Primary Responsibilities:
Responsible for managing all legal and contractual issues in North and South America (other than patent and trademark maintenance) for Fluke Corporation (“Flukeâ€), an Operating Company within! Test & Measurement.
Position reports directly to Tes! t & Measurement’s (“T&Mâ€) VP & General Counsel.
Major Responsibilities:

Working with Test & Measurement and Fluke general management on setting the strategic direction of the business.
·
Working with Test & Measurement Senior Counsel for Compliance to administer Fluke’s compliance with Standards of Conduct, Anti-Corruption and Risk Assessment Programs, including tracking Regional and local compliance, and keeping program documents up-to-date and communicated.
Includes establishing and maintaining a sustainable compliance program covering EHS, business practices, product certification and general legal compliance.

Taking ownership under Test & Measurement’s Risk Assessment Plans for legal compliance-related actions and corrective measures at Fluke.
·
Supporting the Danaher and Test & Measurement business development team in reviewing and closing acquisitions and disp! osals of businesses;
·
Managing a team of contract administrators, preparing/maintaining standard form documentation, arranging and/or delivering training,
maintaining library of signed agreements, supporting sales and leasing initiatives, promoting proper management of distribution channels, including preparing and reviewing distributors contracts.
Drafting and negotiating software licensing agreements.
·
Reviewing press releases, advertising materials and other marketing materials, policing use of domain names and trade names, reviewing compliance with rules relating to fair competition (antitrust).
·
Preparing and reviewing standard forms for service delivery, warranty terms and long term support policies, and supporting customer contracts generally.
·
Assisting with all issues relating to the procurement of materials, services, software and other support necessary for product m! anufacturing, engineering and development.
·
Working! with Test & Measurement Chief IP Counsel to identify and protect intellectual property rights.
·
Managing litigation, including preparing discovery and management of outside counsel.
·
Supporting the talent management team in preparing contracts for senior employees, handling terminations to minimize legal exposure, managing HR litigation, and supporting HR in the preparation, review and enforcement of policy.
·
Supporting finance function on all issues including revenue recognition, general reporting, Sarb-Ox compliance, maintaining intercompany agreements, working with the treasury team on loan agreements, cash-pooling and collection issues;
·
Supporting the logistics team on contractual issues and supporting Test & Measurement’s International Trade Compliance Counsel to ensure compliance with US and other countries’ import and export control laws.
·
Supporting facilities i! n negotiating and signing lease agreements, and supporting the procurement of Information Technology services;
·
Acting in a Company Secretarial role to ensure compliance with filing and other obligations for Fluke’s subsidiaries, maintaining board authorities, officer appointments, dividend payments, capital reductions/increases and other changes;
·
Managing outside counsel with regular reporting and billing, managing legal spend and driving efficiencies and cost reductions;
·
Liaising with Test & Measurement’s Chief International Counsel, responsible for the operations of Test & Measurement’s Companies, including Fluke, in Europe, Middle East, Africa and Asia Pacific, to ensure consistency, cooperation and superior service.
·
Liaising with the other senior attorneys in the T&M platform and the wider Danaher community to ensure that Danaher policies are followed, information is shared and bes! t practices developed and disseminated.
·
Serving on! Senior Staff of the T&M General Counsel.
·
Performing special projects as assigned by the T&M General Counsel.
·
Monitoring significant changes in laws and regulations and compliance trends that apply to Fluke’s operations and activities and develop, update, and communicate policies to ensure continuing compliance.
·
Providing training on legal issues to Flukes’ associates.
·
Assisting the T&M General Counsel as requested on other legal matters and projects.

Qualifications
Minimum Qualifications:
·
JD from a top tier Law School.
·
A minimum of 3 years’ experience with a nationally known law firm.
·
A minimum of 5 years’ experience within legal department of an international company.
·
A minimum of 12 years’ total legal experience.
·
Experience in the high-tech sector and/or drafting/negotiating non-standard software licensing agreements.
·
Experience in defense and governmental contracting a plus.
·
Experience managing other attorneys or professionals.
·
Microsoft Office
·
Fluent in English; Additional language skills a plus.
·
Reports to Test & Measurement’s VP & General Counsel
·
Some domestic and ! international travel is required (10%+)
·
Based at Fluke headquarters in Everett, Washington
