NAES is a full service provider offering a complete array of services dedicated to making facilities run more safely, reliably and cost-effectively. POSITION SUMMARY

Under general supervision of the Vice President, General Counsel/Chief Compliance Officer & Corporate Secretary, assists in overall management of the Legal/Risk Department and delivery of excellent legal services to the company and its subsidiaries. Assist with development and organization of department programs and systems which ensure the effectiveness and efficiency of the Legal/Risk Department, preparation of files and documents for use in contract negotiations and litigation matters to which the Company is a party; assist in-house lawyers in the drafting of corporate documents; draft amendments and revisions to standard forms of contracts and documents; conduct on-line research of legal issues, prepare responses to insurance department inquiries. Provides senior level administrative support to the Vice President, General Counsel, CCO & Corporate Secretary, Manager, Corporate Insurance and Workers Compensation and Corporate Attorneys including handling travel arrangements, corporate communications and research. Coordinate schedule and agenda for department and corporate meetings and related activities.

TYPICAL DUTIES

Update the company's law department intranet site as needed. Process and/or obtain copies of executed contracts from all departments and divisions, scan and place them on the intranet.

Perform all annual US domestic corporate business and vehicle registrations, working with accounting staff as necessary. Obtain and manage all contractor permits and licenses. Maintain corporate records, databases of all licensing and registrations, corporate officer and directors lists, and other contract databases and programs.

Support the manager of corporate insurance as requested. Common support needs include managing workers compensation claims files, inputting basic workers compensation claims information, reviewing contracts for the project insurance requirements, maintaining the workers compensation poster delivery and tracking list, controlling copies of vehicle insurance cards, attending and taking minutes at quarterly workers compensation review meetings, and creating an action timeline, and communication with claims adjusters as directed.

Solicit agenda items, prepare agenda and document packages for weekly department meetings. Assist the Corporate Secretary with the collection and editing of board package materials, create board meeting agendas, assemble and deliver board packages.. Assist the Corporate Secretary with maintenance of both digital and paper repositories of corporate records..

Undertake miscellaneous document production, delivery and preservation tasks. Manage the department's responsibilities under the corporate record retention program

SCOPE OF RESPONSIBILITY

Determines own practices and procedures, contributing to the development of new concepts. Performs duties independently with only general directions given. Decisions are made within policy constraints. Has budgetary preparation/compliance accountability and makes recommendations concerning long-range facilities planning. Job encounters recurring work situations with occasional variations from the norm, involving a moderate degree of complexity. Contacts are normally made with others inside and outside the company, including customers, competitors, other departments, immediate associates and own supervisor. Contacts are usually made on own initiative concerning matters requiring explanation, discussion, interpretation or approvals.

SPECIFIC EDUCATION, EXPERIENCE, KNOWLEDGE & SKILLS

A bachelor's degree from an accredited university highly desired. Further vocational training in law or paralegal work with a certification of completion preferred. A minimum of 8 years of experience working with attorneys in a law firm and/or corporate legal department environment preferred. Proficiency in Microsoft Office products. Familiarity with online database management desirable. Must possess and apply paralegal knowledge and skills in combination with a general knowledge of business and contractual principles, practices and procedures in order to complete complex assignments. Must have strong interpersonal skills. Must have the ability to communicate effectively both orally and in writing throughout company organization levels. Must be detail oriented, highly organized and have the ability to independently make progress on multiple issues simultaneously. Strong analytical and organizational skills. Ability to work within preset deadlines, and establish work priorities involving multiple tasks. Ability to effectively present information and respond to questions from groups of managers, clients, and customers. Requires ability to manage competing priorities, work under time pressures, and meet expectations of high level decision makers. Ability to write reports, business correspondence, and procedures. Must have strong diplomacy abilities to understand and deal sensitively with people and organizational relationships as well as effectively present information and respond to questions from managers, clients, or customers.

WORK CONDITIONS
