To implement continuing program of legal services, including legal and strategic advice and counsel, for designated Market Based Organizations. The Corpor! ate Counsel shall also service on or assist Legal Services Group in developing legal products and/or performing legal services for the Catholic Health Initiatives Healthcare System as a whole.
1. Provide legal advice and counsel to Market Based Organization (MBO) management and Boards, particularly with respect to corporate and Information Technology legal issues and activities.
2. Provide specific legal expertise to Catholic Health Initiatives (CHI) Information Technology Services division, including:
a. acquisition of information technology systems and software throughout CHI and its MBOs;
b. review and negotiate software licensing and maintenance/support agreements and provide general legal advice on information technology and contracting issues and disputes; and
c. establish consistent contractual relationships in information technology acquisitions including related ongoing support and maintenance, ensure compliance with CHI! policies and procedures and promote MBO and national group co! mpliance with the IT Acquisition Policy.
3. Provide legal advice regarding intellectual property management and database coordination including patent, trademark, service mark, Internet domains and copyright applications and rights.
4. Provide legal services regarding privacy, security and general compliance with HIPAA as related to information technology throughout CHI and its MBOs.
5. Draft, review and assist in the implementation of private and security policies and procedures as related to information technology to promote compliance with HIPAA throughout CHI and its MBOs.
6. Furnish administrative oversight and guidance regarding CHI's contract management system.
7. Evaluate and furnish legal strategic advice and participate in strategic development of MBOs through attendance at appropriate board and management meetings.
Qualifications
a. Education / Accreditation / Licensure (required & preferred):
ï¬ J.D. or L.L.B. awarded by an ABA accredited law school.
b. Experience (required and preferred):
ï¬ License to practice in one or more states.
ï¬ Minimum of five years experience as legal counsel in information technology transactions, specifically including those key responsibilities described above; some legal experience preferred to/in the healthcare industry through representation of healthcare clients, either in private legal practice or as an in-house counsel to a hospital health system.
ï¬ Provide professional responsibilities in a manner consistent with the philosophy, mission, and values of CHI.
ï¬ Good interpersonal skills.
ï¬ Excellent oral and written communication skills.
ï¬ Health professional education, experience, and/or equivalent.
ï¬ Decision-making skills and judgment to ensure that MBO activities maximize benefits to the MBO Groups and CHI Healthcare System and those ac! tivities are conducted in accordance with CHI Mission and Core Values a! nd the ERDs.
ï¬ Ability to ensure the effective use of in-house and outside legal resources to accomplish tasks, resolve legal issues, and achieve cost effectiveness; ability to provide comparison of outside attorneys in order to evaluate performance and to create uniformly high expectations.
ï¬ The skills required to work in a matrix organization. Strong interpersonal skills that build effective working relationships with CHI leadership, staff, and other CHI Groups, Task Forces, and Teams.
